1 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (or the business entity you represent, "User") and GetSplays Business ("GetSplays", "we", "us", or "our"), governing your access to and use of the Platform and all related services.

By clicking "I Agree", registering an account, or otherwise using the Platform, you confirm that:

• You have read, understood, and agree to these Terms.
• You are authorized to enter into this agreement on behalf of the business you represent, if applicable.
• You meet the eligibility requirements set out in Section 3.

We may update these Terms from time to time. Continued use of the Platform following notice of updates constitutes acceptance of the revised Terms.

2 Description of Services

GetSplays Business provides a B2B platform that enables gaming companies, content creators, publishers, and associated businesses to:

• Amplify gaming content plays across our partner distribution network.
• Access audience analytics, campaign performance data, and business insights.
• Connect with brand partners, advertisers, and sponsors.
• Manage content rights, licensing, and royalty collection.
• Run targeted growth campaigns to expand audiences and increase revenue.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3 Eligibility & Registration

To use the Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts.
• Be a legitimate business entity or individual operating in the gaming, esports, or entertainment industry.
• Not be located in a jurisdiction where use of the Platform is prohibited by applicable law.

By registering, you represent and warrant that all information you provide is accurate, current, and complete. You agree to keep this information up to date. GetSplays reserves the right to refuse registration or terminate accounts that violate eligibility requirements.

4 Account Responsibilities

You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account, whether authorized by you or not.
• Notifying us immediately at security@getsplays.com if you suspect unauthorized access.
• Ensuring that all users added to your business account comply with these Terms.

You may not share your account credentials with unauthorized third parties or create accounts on behalf of others without their consent. GetSplays will not be liable for any loss resulting from unauthorized use of your account.

5 Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Upload, distribute, or promote content that is illegal, defamatory, obscene, hateful, or infringes any third-party rights.
• Attempt to artificially inflate play counts, impressions, or engagement metrics through bots, scripts, or fraudulent means.
• Reverse engineer, decompile, or attempt to extract the source code of the Platform.
• Use the Platform to send spam, phishing messages, or unsolicited commercial communications.
• Introduce malware, viruses, or any other malicious code into the Platform.
• Access or attempt to access accounts, systems, or data that you are not authorized to use.
• Use the Platform in any way that violates applicable laws, including those related to data privacy, intellectual property, or consumer protection.

Violation of this policy may result in immediate account suspension or termination, and may be referred to relevant law enforcement authorities.

6 Intellectual Property

6.1 GetSplays IP

The Platform, including all software, designs, trademarks, logos, and content created by GetSplays, is owned by or licensed to GetSplays and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written consent.

6.2 Your Content

You retain ownership of all content you upload or connect to the Platform ("User Content"). By using the Platform, you grant GetSplays a non-exclusive, worldwide, royalty-free license to use, distribute, and display your User Content solely to the extent necessary to provide the services described herein.

6.3 Feedback

Any suggestions, ideas, or feedback you provide to GetSplays regarding the Platform may be used by us without restriction or compensation to you.

7 Payment & Billing

Certain features of the Platform are available on a paid subscription or performance-based fee model. By subscribing or initiating a paid service:

• You authorize us to charge your selected payment method on the agreed billing cycle.
• All fees are stated in USD and are non-refundable except as required by applicable law or as expressly stated in our refund policy.
• You are responsible for any taxes, duties, or levies applicable to your use of the Platform in your jurisdiction.
• If a payment fails, we may suspend access to paid features until payment is resolved.
• We reserve the right to change pricing with 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

8 Disclaimers & Limitations of Liability

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

• GetSplays disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.
• We do not guarantee specific play counts, revenue outcomes, or audience growth results from using the Platform.
• GetSplays shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
• Our total aggregate liability to you for any claim arising from these Terms shall not exceed the fees paid by you to GetSplays in the 12 months preceding the claim.

9 Termination

Either party may terminate this agreement at any time:

• By You: You may close your account at any time via your account settings. Termination does not entitle you to a refund of prepaid fees.
• By GetSplays: We may suspend or terminate your account immediately, without notice, if we determine you have violated these Terms, engaged in fraudulent activity, or if required by law.

Upon termination, your right to access the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable legal obligations.

10 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from or related to these Terms or your use of the Platform shall be resolved as follows:

• Informal Resolution: Before initiating formal proceedings, you agree to contact us at legal@getsplays.com and attempt to resolve the dispute informally for at least 30 days.
• Arbitration: If informal resolution fails, disputes shall be submitted to binding arbitration rather than resolved in court, except where prohibited by applicable law.
• Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class-action proceedings.
